If the Contractor fails for any reason to take possession of or to use the premises in accordance with this Agreement, unless the Contractor notifies OTC of such cancellation, in writing, at least NINETY (90) days prior to the scheduled event, performance, or other scheduled activity, the Down Payment (50%), as called for in this Agreement, shall be forfeit by the Contractor to OTC.
